More than £17 billion was wiped off the value of Britain's biggest drugmaker, AstraZeneca, on Monday after a report that it was in discussions to take over its US rival Bristol Myers Squibb, the Guardian reported on August 3. A $400 billion tie-up would create the world's fourth largest drugmaker, but analysts questioned the rationale for the deal.

The Numbers

AstraZeneca shares fell 8.9% on the news, erasing more than £17 billion in market cap in a single trading session. Bristol Myers Squibb shares rose modestly on the report. The combined entity would have a market cap of roughly $400 billion, ranking behind only Johnson & Johnson, Eli Lilly, and Pfizer among global drugmakers.

"AstraZeneca stock fell as investors balked at reports of merger talks with Bristol Myers Squibb about forming one of the world's biggest drugmakers," STAT reported.

Why the Skepticism

The skepticism is straightforward. AstraZeneca has been one of the best-performing big-pharma stocks of the past five years, with a strong oncology pipeline and successful diversification beyond its legacy cardiovascular franchise. Bristol Myers Squibb, by contrast, faces patent cliffs on several of its biggest drugs and has been searching for growth. Analysts questioned whether AstraZeneca was buying a turnaround story or selling its momentum.

What's Next

Neither company has publicly confirmed the talks. If a deal emerges, it would face significant regulatory scrutiny in the US, UK, and EU. Both companies have substantial oncology franchises that overlap in some areas. The combined entity would also face questions about R&D integration and job cuts. The Guardian's reporting is consistent with STAT's earlier coverage of pharma mega-merger speculation.
