Faraday Future Intelligent Electric has spent most of its public life being described as an electric vehicle company. That description is now being rewritten. The company, which trades on the Nasdaq under the ticker FFAI, has been assembling a robotics division that now spans three robot forms, five product series, 11 models and 24 individual products. All 24 products have received FCC certification and are available for sale and delivery, and the company says customer deliveries are already underway. The proposed combination also brings in RoboShare, Faraday Future's robot sharing and rental platform.
On September 30, 2026, that division is scheduled to get its own public market identity. AIxCrypto Holdings Inc., a Nasdaq listed company that had been pursuing a cryptocurrency strategy, is changing its name to FF EAI Robotics Ecosystem Inc. and its ticker from AIXC to FFR at the opening of trading. The ticker change sits on top of a proposed all stock acquisition of Faraday Future's robotics assets and businesses at an estimated valuation of approximately $200 million.
The structure matters as much as the headline. AIxCrypto is acquiring the robotics assets rather than having them spun out through a conventional initial public offering. Faraday Future expects to become FFR's single largest controlling stockholder and to consolidate its financial results once the deal closes. For AIxCrypto, the move marks an exit from crypto: it is expected to discontinue that strategy entirely and to concentrate on robotics research and development, supply chain, manufacturing, sales, deployment, data and operations, with a stated goal of reaching a top three position in the EAI robotics ecosystem market over the next five years.
Ambition aside, nothing is signed yet. The two sides have entered into a non binding term sheet. Completion remains subject to due diligence, definitive agreements, review and approval by special committees of both FFR and Faraday Future, applicable approvals and customary closing conditions, and the companies have cautioned that the transaction may not be completed. Faraday Future said it would host a conference call and webcast on September 29, 2026, a day before the ticker change.

American Banking News reported on September 29 that both boards approved the term sheet and that the ticker change would take effect at the open on September 30. The report cited management projections of approximately $7.1 million in 2026 revenue and approximately $45.17 million in 2027, a 2027 gross margin of 30.5 percent, positive operating cash flow in the third quarter of 2028, and cumulative revenue of approximately $1.98 billion over the five years through 2030, with gross margin rising to about 54 percent in 2030. EAI Device sales are targeted at 2,001 units in 2026 and 7,400 units in 2027, with cumulative sales projected to exceed 130,000 units over five years and cumulative five year research and development investment of about $300 million.
PR Newswire reported on September 28 that Faraday Future also announced a strategic upgrade into a Robotaxi and EAI Cabin shared mobility operations company and a Physical AI investment holding company. The release, filed with the SEC as Exhibit 99.2 to a Form 8 K, said the proposed transaction would create a standalone platform for the commercialization and development of Faraday Future's EAI robotics operations. FFR also plans an equity PIPE of no more than $30 million in the near term.

What this really means is that Faraday Future is converting a small but genuinely shipping robotics business into a separately traded public currency, and it is doing so before the unit has the revenue to justify the number on its own. Roughly $1.52 million in cumulative revenue against a proposed $200 million valuation means buyers are paying for product breadth, certifications and a five year forecast rather than for current cash generation. The 24 products and 552 cumulative shipments show the unit is past the slideware stage, but the gap between those two figures is the entire story of the trade.
The mechanics of the $2.246 per share floor reinforce that reading. A price floor defended by a one time special dividend, payable only if the acquisition closes, is a structure designed to hold a specific valuation line rather than to discover one through ordinary market trading. Because the term sheet is non binding and the special dividend is conditional on closing, shareholders are being asked to underwrite both the robotics thesis and the completion risk at the same time. The illustrative $55 million pre closing equity value also sits far below the $200 million headline valuation, which shows that the headline number describes the acquired robotics business, not the equity investors are buying into.
The bigger picture here is that this is a reverse merger dressed as a spinout, and that the exit from crypto is the quietest but most consequential part of the announcement. AIxCrypto is not adding robotics to a crypto business, it is replacing crypto with robotics and asking the market to re rate it accordingly. Faraday Future gains a listed vehicle for embodied AI without an IPO roadshow, and it keeps control by becoming the largest stockholder and consolidating results. That combination gives the parent flexibility, but it also means the parent's own balance sheet and the new entity's fortunes remain tightly linked, and it means the $30 million PIPE and any future raises will be judged against forecasts that assume revenue growing from about $7.1 million in 2026 to roughly $45.17 million in 2027.

For the robotics sector, the listing is a test of whether public market investors will fund an embodied AI platform on the strength of early shipments and a long range forecast. If FFR trades well, it becomes a template for hardware heavy robotics companies that cannot yet support a traditional IPO. If it does not, the $200 million mark becomes a cautionary data point for every founder pitching robot forms, product series and model counts as a proxy for durable demand.
For Faraday Future's existing shareholders, the stakes are more immediate. The parent expects to consolidate FFR's financial results, which cuts both ways: it adds the robotics unit's revenue and losses to Faraday Future's own statements, and it ties the parent's reported performance to a business that is still dependent on outside capital.
