CodeRabbit, the AI code review company, has raised $143 million in a Series C round that values the business at $1.5 billion, while also launching a suite of tools dubbed Agentic Change Management, the company announced August 13.
A Rapid Trajectory
Atomico and Smash Capital co-led the round, with new backers including BMW i Ventures, Hirtle Callaghan, Datadog, Scenic Management and SineWave Ventures joining existing investors CRV, Flex Capital, Scale Venture Partners, Harmony Partners, Pelion Venture Partners and Engineering Capital. The raise comes less than a year after a $60 million Series B, underscoring how quickly AI developer tools have become one of venture capital's most active categories as enterprises put AI agents directly into their engineering workflows.
From Review to Change Management
CodeRabbit said the Series C proceeds will fund international expansion, research and product development, with the new Agentic Change Management tools extending its automated review engine from pull requests into broader codebase change planning. The company is among a wave of AI-powered developer startups — alongside coding assistants, agents and security scanners — that have seen valuations climb steeply as software teams adopt automation across the entire development lifecycle.
